Terms and Conditions

These Terms and Conditions (the "Terms") govern your access to and use of the Tuesday Markets website (tuesday.africa), our mobile applications, and any related services (together, the "Platform"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

Risk warning: Investing puts your capital at risk. The value of investments can go down as well as up, and you may get back less than you invested. Past performance is not a reliable indicator of future results, and nothing on the Platform is investment advice.

1. About Us and These Terms

The Platform is operated by Tuesday Markets Ltd, a company incorporated in Mauritius with its registered office at Rogers House, 5 President John Kennedy Street, Port Louis, Mauritius ("Tuesday Markets", "we", "us").

These Terms, together with our Privacy Policy, Refund Policy, Trading Rules, and Auction Rules, form the agreement between you and Tuesday Markets. Where a specific rule set conflicts with these Terms in relation to trading, the Trading Rules and Auction Rules prevail.

2. Definitions

  • Account means the investment account you hold with Tuesday Markets.
  • Order means an instruction you submit through the Platform to buy or sell a security.
  • Execution means the matching of your Order against a counterparty on the exchange.
  • SEM means the Stock Exchange of Mauritius.
  • Securities means the shares and other instruments made available for trading on the Platform.

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to open an Account. You may only open an Account in your own name, and you are responsible for ensuring that your use of the Platform is lawful in the country in which you reside.

We may decline an application, or restrict access, where we are unable to offer the service in your jurisdiction.

4. Account Registration and Verification

  • You agree to provide accurate, current, and complete information when registering, and to keep that information up to date.
  • Before you can trade, you must complete our Know Your Customer (KYC) and anti-money-laundering checks. We may request identity documents, proof of address, and source-of-funds information.
  • You are responsible for keeping your login credentials confidential and for all activity that takes place under your Account. Notify us immediately if you suspect unauthorised access.
  • We may suspend, restrict, or close an Account where verification cannot be completed, where information provided is inaccurate, or where we are required to do so by law or by a regulator.

5. Use of the Platform

The Platform gives you access to Securities listed on the SEM and to related market information, portfolio, and watchlist tools. You agree not to:

  • Use the Platform for any unlawful or fraudulent purpose.
  • Engage in market manipulation, insider dealing, or any other abusive trading practice.
  • Attempt to gain unauthorised access to the Platform, interfere with its operation, or use automated systems to extract data from it.
  • Trade on behalf of another person without our written consent.

6. Orders, Execution, and Settlement

  • Orders you place through the Platform are instructions to buy or sell Securities. Placing an Order does not guarantee Execution.
  • Orders are executed subject to the rules of the SEM, our Trading Rules, and the applicable Auction Rules, and are matched only where a counterparty and sufficient liquidity exist.
  • Once an Order is matched and executed, the trade is binding and cannot be cancelled or reversed. Unexecuted Orders may be cancelled or amended in line with the Trading Rules.
  • Settlement, custody, and the issue of contract notes follow the timelines set by the exchange and its clearing arrangements.

7. Deposits, Withdrawals, and Fees

  • Funds deposited into your Account are held for the purpose of settling your trades and are available for withdrawal in accordance with our procedures.
  • Withdrawals are paid only to an account held in your own name, after verification checks are complete.
  • Brokerage commissions, exchange and regulatory levies, and any bank or payment-provider charges apply to transactions. Applicable fees are disclosed before you confirm a transaction and in your contract notes and account statements.
  • Third-party payment providers and banks may apply their own charges and processing times, which are outside our control.

8. Investment Risk

Investing in Securities carries risk. The value of investments can go down as well as up, and you may get back less than you invested. Past performance is not a reliable indicator of future results.

Securities listed on the High-Growth Segment may be less liquid and more volatile than those on established markets, and it may not always be possible to sell a holding at the price or time you want.

Nothing on the Platform constitutes investment, tax, or legal advice, and no content should be treated as a recommendation to buy or sell any Security. You are responsible for your own investment decisions and should seek independent advice where appropriate.

9. Market Data and Content

Prices, listing particulars, announcements, news, and other content are provided for information only. While we take reasonable care to keep this information accurate and current, we do not warrant that it is error-free, complete, or delivered without delay, and we are not liable for decisions taken in reliance on it.

10. Intellectual Property

The Platform, including its software, design, text, graphics, and logos, is owned by Tuesday Markets or its licensors and is protected by intellectual property laws. You may use the Platform for your personal, non-commercial investment activity only, and you may not copy, modify, distribute, or create derivative works from it without our written permission.

11. Availability and Limitation of Liability

We aim to keep the Platform available at all times, but access may be interrupted for maintenance, upgrades, or reasons beyond our control, including network, exchange, or third-party provider failures. To the fullest extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, or losses arising from market movements, from interruptions to the Platform, or from your failure to keep your Account credentials secure.

12. Suspension and Termination

You may close your Account at any time once all open positions are settled and any remaining balance has been withdrawn. We may suspend or terminate your access where you breach these Terms, where we suspect fraudulent or unlawful activity, or where we are required to do so by a regulator or by law.

13. Privacy and Data Protection

We handle your personal information in accordance with our Privacy Policy, which forms part of these Terms.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised "last updated" date, and your continued use of the Platform after they are posted means you accept the updated Terms.

15. Complaints, Governing Law, and Disputes

If you have a complaint, please contact us first using the details below so we can try to resolve it directly. We aim to acknowledge complaints within 2 business days.

These Terms are governed by the laws of the Republic of Mauritius, and the courts of Mauritius have jurisdiction over any dispute arising from them.
